1. Acceptance of Terms
By installing, accessing, or using the Metagrid application ("App", "Service", "we", "us", or "our"), you ("Merchant", "User", "you") agree to be bound by these Terms of Service ("Terms"). Use of the App requires a compatible device, internet access, and an authorized Shopify Account that you own, control, or are authorized to act on behalf of. If you do not agree to these Terms, do not install or use the Service.
2. Description of Service
Metagrid provides a visual bulk-editing interface for managing Shopify metafields and standard product data within the Shopify Admin dashboard.
3. Relationship with Shopify
Metagrid is developed by an independent third-party developer (the "Application Provider") and is not affiliated with, endorsed by, or sponsored by Shopify Inc. By installing this App, you acknowledge and agree that Shopify has no responsibility for the App, its operation, or its content. Your use of the App Store and Shopify Apps remains fully subject to Shopify's own Privacy Policy and Terms of Service.
4. Acceptable Use and Restrictions
You agree not to use the Service for any unlawful purpose or in any way that interrupts, damages, or impairs the Service. You may not rent, lease, lend, sell, transfer, redistribute, or sublicense the App. Additionally, you may not copy, decompile, reverse-engineer, disassemble, or attempt to derive the source code of the App, nor circumvent or defeat any of its security features or components.
5. Billing and Subscriptions
All billing, invoicing, and subscription charges for Metagrid are processed directly through Shopify's native billing system and will display on your standard Shopify bill. By selecting a paid subscription tier, you agree to the pricing and billing cycles presented during the installation and authorization process. Uninstalling the App will cancel future billing cycles in accordance with Shopify's standard application billing policies.
6. Data and Privacy
Our collection, use, and storage of your information are governed by our Privacy Policy. You represent and warrant that any data you submit to us during your use of the App has not been collected, stored, or transferred in violation of any applicable law. Metagrid is an admin-only tool and does not collect personal information from your store's customers; if you use other tools that process customer personal information, you remain responsible for obtaining any required consent before that data is collected or shared with third parties.
7. Disclaimer of Warranties
You expressly acknowledge and agree that use of the App is at your sole risk. To the maximum extent permitted by applicable law, the App and any services performed by the App are provided "As Is" and "As Available," with all faults and without warranty of any kind. We do not warrant that the functions contained in the App will meet your requirements, that the operation of the App will be uninterrupted or error-free, or that defects in the App will be corrected. No oral or written advice given by us shall create a warranty. Should the App prove defective, you assume the entire cost of all necessary servicing, repair, or correction.
8. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall Metagrid, its founders, affiliates, or service providers be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data corruption, business interruption, or loss of goodwill, arising out of your access to or use of the application.
In no event shall our total aggregate liability to you for any claims arising out of or relating to these Terms or your use of the Service exceed the total amount paid, if any, by you to us for the Service subscription during the one (1) month period immediately preceding the event giving rise to the claim. You acknowledge and agree that the essential purpose of this section is to allocate the risks under these Terms between the parties and limit potential liability given the subscription fees charged, which would have been substantially higher if we were to assume any further liability other than as set forth herein.
9. Indemnification
You agree to indemnify, defend, and hold harmless Metagrid, its affiliates, and its officers from and against any and all claims, liabilities, damages, losses, or expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the App, your violation of these Terms, or your violation of any third-party right, including without limitation intellectual property, confidentiality, or privacy rights.
10. Modifications to the Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will make reasonable efforts to notify you of any material changes (e.g., via email or an in-app notification). By continuing to access or use the App after those revisions become effective, you agree to be bound by the revised terms.
11. Governing Law
These Terms shall be governed and construed in accordance with the laws of the jurisdiction in which the Application Provider is established, without regard to its conflict of law provisions.
